Tincorp Announces Executive Changes
Derek Liu has resigned as Chief Financial Officer of Tincorp Metals with immediate effect, and Tee Tan has been appointed permanent CFO. Tan joins from KPMG LLP, where he was a Senior Manager in the audit practice, and has over 10 years of experience in financial reporting, risk management and regulatory compliance. Tincorp is focused on tin projects in Bolivia, including the wholly owned Porvenir Project and the SF Project.

The sale of wholly owned subsidiary Whitehorse Gold (Yukon) Corp., which holds a 100% interest in the Skukum Gold Project in Yukon, to Blue Jay Gold Corp. closed on September 29, 2025. Consideration comprised 500,000 Blue Jay common shares and 250,000 warrants exercisable at $0.90 for two years, valued at $300,000, plus $275,000 in cash and/or shares on the first anniversary of closing, less a $25,000 deposit. Blue Jay assumed Project security demand obligations and will pay $5 per ounce AuEq above 2 million ounces identified within 5 years.

A binding share purchase agreement dated June 3, 2025 will see Blue Jay Gold Corp. acquire Tincorp's wholly owned subsidiary Whitehorse Gold (Yukon) Corp., which holds 100% of the Skukum Gold Project in Yukon. Blue Jay will pay C$300,000 in cash and/or equity at closing and C$275,000 on the one-year anniversary, following a C$25,000 deposit, plus $5 per ounce AuEq above a cumulative 2 million ounces AuEq identified within 5 years. Blue Jay assumes reclamation, including the ~C$2.93 million Yukon Government security demand. Closing is expected in Q3 2025.
