A C$70 million bought deal private placement has closed, comprising 20,409,000 common shares at C$2.45 for gross proceeds of C$50,002,050 (including full exercise of the underwriters' option for C$10,000,900) and 5,556,000 flow-through shares at C$3.60 for C$20,001,600. Flow-through proceeds will fund Canadian exploration expenses on Q2 Metals' Québec projects by December 31, 2027, with common share proceeds directed to the Cisco Lithium Project and working capital. Underwriters received C$3,850,200.75 cash and 649,125 broker warrants.

An inaugural NI 43-101 inferred mineral resource estimate for the Cisco Lithium Project in the Eeyou Istchee James Bay region of Quebec totals 295 Mt at 1.36% Li2O, comprising 270 Mt at 1.36% Li2O pit-constrained at a 0.4% cut-off and 24 Mt at 1.34 Li2O underground at a 0.7% cut-off, for 9.9 Mt contained LCE. The estimate, by BBA with an effective date of April 20, 2026, used assays from 75 drillholes over 33,343 m. A separate exploration target of 44 to 67 Mt at 0.88 to 1.35% Li2O was also prepared.

Director Keith Phillips has been appointed Executive Chair of Q2 Metals' board, effective immediately; he joined the board in October 2025 after serving as CEO of Piedmont Lithium from 2017 until its 2025 merger with Sayona Mining. Winter drilling has re-commenced at the Cisco Lithium Project in Quebec's James Bay region, focused on infill drilling for a Preliminary Economic Assessment targeted for late 2026. As of December 31, 2025, 74 holes totalling 31,961 metres have been drilled, with assays pending on seven holes and an inaugural inferred Mineral Resource Estimate anticipated in March.

Drill hole CS25-065 at the Cisco Lithium Project in the Eeyou Istchee James Bay region of Quebec cut five spodumene pegmatite intervals, including a 179.2-metre continuous interval at 50 to 180 metres depth, north of the known mineralized zone; hole CS25-063 cut 15 intervals including one 75.4 metres wide. Since September 10, 2025, 7,781 metres over 21 holes were drilled, bringing totals to 67 holes for 27,295 metres. Assays for holes 40-65 are pending, with an inaugural mineral resource estimate expected in Q1 2026.

Phillips was CEO of Piedmont Lithium from its inception in 2017 until its 2025 merger with Sayona Mining, and previously led mining investment banking teams at Merrill Lynch, J.P. Morgan and Dahlman Rose. The Company also granted 1,300,000 stock options to directors, officers and consultants at an exercise price of $0.95 per share for five years, subject to TSX Venture Exchange acceptance.

Drilling at the Cisco Lithium Project in the Eeyou Istchee James Bay region of Quebec has totalled 46 holes for 20,138 metres since June 2025, with assays pending on all summer holes. Three drill rigs are operating and a fourth is expected in November 2025, with infill drilling of the 1.5 km mineralized zone aimed at an initial inferred mineral resource estimate. A $26 million flow-through private placement closed August 14, 2025, and a second phase of metallurgical test work is expected to start in September 2025.

First-phase metallurgical testing on 2024 drill core from the Cisco Lithium Project in Eeyou Istchee James Bay, Quebec returned lithium recoveries of 69.6% to 74.1% at a 2.80 SG cut point and -6.3 mm crush size: Composite 18 at 74.1% recovery producing a 5.69% Li2O concentrate with 0.42% Fe2O3, Composite 21 at 69.6% and 5.08% Li2O with 0.55% Fe2O3, and Composite 23 at 71.6% and 5.60% Li2O with 0.46% Fe2O3. SGS Canada conducted the heavy liquid separation work, confirming suitability for dense media separation; further HLS testing will cover other areas of the main mineralized zone.
